Vendor Terms
These Vendor Terms govern your participation as a seller on the Servana marketplace. By registering as a vendor and listing products, you agree to these terms in addition to our Terms of Service and Marketplace Terms.
1. Vendor Registration
To sell on Servana, you must:
- Create a vendor account with accurate business and contact information
- Complete KYC verification (National ID/NIN, proof of address; CAC certificate and TIN for registered businesses)
- Provide a verified Nigerian bank account for payouts
- Accept these Vendor Terms and applicable category-specific policies
Servana reserves the right to approve or reject vendor applications at its discretion.
2. Store Management
Vendors are responsible for maintaining their store profile, product catalog, inventory levels, and pricing. The vendor dashboard provides tools for:
- Adding, editing, and removing product listings with images and descriptions
- Managing stock quantities and receiving low-stock alerts
- Viewing and processing incoming orders (accept, reject, mark ready for pickup)
- Accessing sales analytics, revenue reports, and best-selling product insights
- AI-powered inventory forecasting to optimize stock levels
3. Product Listing Standards
All listings must:
- Accurately describe the product including condition, size, color, and specifications
- Use original product images (not stolen from other sellers or brands)
- Display the correct price in NGN, inclusive of any mandatory charges
- Reflect actual stock availability — cancel orders you cannot fulfill promptly
- Comply with Nigerian labeling, safety, and consumer protection standards
4. Order Fulfillment
Upon receiving an order, vendors must:
- Accept or reject within the platform's stated response window (typically 24 hours)
- Prepare orders accurately and package items securely for delivery
- Hand over to Servana delivery partners or arrange approved self-delivery
- Update order status promptly in the vendor dashboard
Failure to fulfill accepted orders may result in penalties, negative ratings, and account suspension.
5. Commission & Fees
Servana charges a commission on each completed sale. Commission rates vary by product category and are disclosed during vendor onboarding and in the vendor dashboard. Additional fees may apply for:
- Payment processing (via Paystack/Flutterwave)
- Delivery coordination (when using Servana logistics)
- Promotional placement and featured listings (optional)
Commission is deducted before payout. Servana may adjust rates with 30 days' notice.
6. Payouts
Vendor earnings are settled to your verified bank account on a regular schedule (typically weekly or upon request above minimum threshold). Payouts are subject to:
- Successful order completion and end of return window
- Deduction of commissions, refunds, chargebacks, and penalties
- Completion of KYC and tax documentation where required
Payout disputes should be raised within 14 days via vendors@servana.ng.
7. Prohibited Items & Conduct
Vendors may not sell:
- Counterfeit, replica, or unauthorized branded goods
- Illegal drugs, weapons, explosives, or stolen property
- Adult content, hate materials, or items violating Nigerian law
- Recalled, expired, or unsafe products
- Products requiring special licenses without valid documentation (pharmaceuticals, alcohol, etc.)
Vendors may not redirect buyers off-platform to avoid fees, manipulate reviews, or engage in price gouging during emergencies.
8. Returns & Customer Service
Vendors must honor Servana's Refund & Return Policy and respond to buyer inquiries within 48 hours. Defective or misdescribed items must be refunded or replaced at the vendor's expense.
9. Intellectual Property
Vendors warrant they have the right to sell all listed products and that listings do not infringe third-party trademarks or copyrights. Servana may remove infringing listings upon valid notice.
10. Account Suspension & Termination
Servana may suspend or terminate vendor accounts for: policy violations, high cancellation rates, consistently poor ratings, fraud, or failure to complete KYC. Upon termination, pending payouts for completed orders will be processed minus any amounts owed.
11. Tax Obligations
Vendors are responsible for their own tax obligations including VAT, withholding tax, and income tax under Nigerian law. Servana may provide transaction reports to assist with tax filing but does not provide tax advice.
